Job Summary:
We are seeking a skilled and experienced Corporate Lawyer to join our legal team. The successful candidate will provide expert legal advice on corporate matters, ensuring the company’s compliance with laws and regulations. This role involves handling a variety of legal issues, including mergers and acquisitions, corporate governance, contract negotiation, and regulatory compliance.
Responsibilities:
- Legal Advisory:
- Provide legal counsel on corporate matters to internal stakeholders.
- Analyze legal issues and interpret laws and regulations relevant to the business.
- Contract Negotiation:
- Draft, review, and negotiate a wide range of corporate agreements, including mergers and acquisitions, joint ventures, and commercial contracts.
- Corporate Governance:
- Ensure compliance with corporate governance principles and regulations.
- Assist in the preparation and filing of corporate governance documents.
- Mergers and Acquisitions:
- Participate in due diligence processes.
- Draft and review legal documents related to mergers, acquisitions, and divestitures.
- Regulatory Compliance:
- Monitor changes in laws and regulations affecting the company.
- Develop and implement policies to ensure compliance with legal requirements.
- Risk Management:
- Identify legal risks and propose appropriate actions to mitigate them.
- Work closely with other departments to assess and manage legal risks.
Dispute Resolution:
- Handle corporate disputes and legal proceedings.
- Collaborate with external legal counsel as needed.
- Collaboration:
- Collaborate with internal teams, including finance, human resources, and operations, to provide comprehensive legal support.
Qualifications:
- LLB degree from an accredited law school.
- Active license to practice law in [State].
- English and computing skills are a must.
- 3 years’ experience in related field.
- In-depth knowledge of corporate law, mergers and acquisitions, and regulatory compliance.
- Strong negotiation and drafting skills.
- Excellent communication and interpersonal skills.
- Ability to work independently and as part of a team.
- Attention to detail and strong analytical skills.
- Preferred Qualifications:
- Experience working in a corporate legal department or law firm.
- Specialization in a relevant area of corporate law (e.g., securities law, international transactions).
Working Hour: 9:00 AM To 5:00 PM
Holiday: Saturday, Sunday & Public Holiday
