Key responsibilities

Commercial contracts and negotiations

  • Draft, review and negotiate customer, supplier, subcontractor, lease, service, maintenance, procurement, confidentiality and consultancy agreements.
  • Support colocation, tower, power, SLA/KPI, site lease, variation, renewal, termination, warranty, indemnity, limitation-of-liability and payment matters.
  • Maintain approved templates, clause positions, signing authorities and a reliable contract register with key obligations, notices, expiry dates and risk items.
  • Participate in material negotiations and ensure that commitments are documented by duly authorised representatives.

Claims, disputes and recoveries

  • Lead the legal and contractual analysis of customer service-credit claims, outage/SLA disputes, vendor defects, warranty claims, overdue payments and other commercial disputes.
  • Prepare notices, reservations of rights, responses, settlement terms and escalation papers supported by operational and financial evidence.
  • Create disciplined claim files, manage procedural deadlines and recommend negotiation, mediation, arbitration or litigation strategies.
  • Appoint and manage external counsel, control legal cost and keep the CEO informed of exposure, options and recommended actions.

Corporate, regulatory and compliance

  • Advise on Myanmar corporate and commercial law, company records, board/shareholder approvals, delegations of authority and statutory filings in coordination with Finance and Company Secretarial support.
  • Support licences, permits and regulatory matters relevant to telecom infrastructure, land/site access, employment, tax/customs interfaces, HSSE, security and data/confidentiality obligations.
  • Monitor material legal and regulatory developments, translate them into practical actions and maintain a compliance calendar.
  • Support anti-bribery, conflicts-of-interest, sanctions, fraud, whistleblowing and third-party due-diligence controls consistent with Company requirements.

Business partnership and governance

  • Provide concise, decision-oriented advice to the CEO and department heads, clearly distinguishing legal requirements, commercial risks and recommended actions.
  • Train managers on contract discipline, evidence preservation, notices, authority limits and dispute prevention.
  • Work closely with Finance, General Services, APO and O&M to ensure that operational records can support claims, defences, audits and negotiations.
  • Prepare a monthly legal dashboard covering material contracts, disputes, regulatory items, deadlines, exposure and actions required.

Decision rights and escalation

  • May communicate company’s legal position and coordinate negotiations within approved instructions and authority limits.
  • Must escalate promptly any threatened litigation/arbitration, regulatory investigation, potential criminal issue, material contract breach, proposed settlement, conflict of interest or exposure above the threshold set by the CEO.
  • May not admit liability, waive rights, accept a claim, appoint external counsel or agree a settlement without the required approval under company’s delegation of authority.

Candidate requirements

Essential

  • Bachelor of Laws (LL.B.) or equivalent recognised law degree; qualified to practise law in Myanmar.
  • Advocate status is preferred for candidates expected to supervise contentious matters.
  • Approximately 8-12 years of relevant post-qualification experience, including meaningful corporate/commercial work in Myanmar and at least 3 years in an in-house, law-firm leadership or senior counsel capacity.
  • Strong record of drafting and negotiating commercial contracts and handling material claims or disputes.
  • Working knowledge of Myanmar company, contract, employment and regulatory law, with the judgment to identify when specialist tax, litigation or regulatory advice is required.
  • Professional fluency in written and spoken Myanmar and English, including the ability to draft clear
  • English-language contracts and executive correspondence.
  • High integrity, independence, discretion and sound commercial judgment.

Preferred

  • Experience in telecoms, tower infrastructure, energy/power services, construction, real estate/site leasing or another asset-intensive industry.
  • Experience with SLAs, service credits, outages, procurement claims, warranties, arbitration and cross-border/group-company matters.
  • Established ability to work effectively with Myanmar regulators, external law firms and senior business stakeholders.

Initial performance priorities (first 90-180 days)

  • Complete a legal-risk and contract-governance review, with priorities agreed with the CEO.
  • Establish the contract, dispute, notice and regulatory calendars and a monthly legal dashboard.
  • Review material customer and supplier contracts, including current claims and unresolved commercial exposures.
  • Introduce standard templates, approval controls and a practical process for legal review and external-counsel engagement.
  • Deliver focused training to Finance, General Services, APO and O&M managers on contract and evidence discipline.

HR screening guide

  • HR should shortlist only candidates who demonstrate all four core capabilities: Myanmar qualification, strong English drafting, substantive commercial-contract experience and direct responsibility for disputes or negotiations. Sector experience is valuable, but legal judgment and hands-on delivery are more important than title alone.
